Sales Policy

 

Thank you for visiting the originexchange.com website (the “Platform”). Please read this Sales Policy for orders placed through our Platform (the “Policy”) carefully before making any purchase from this website. By purchasing goods and services from this Platform, you accept the policies set forth in this Policy and any additional policies and terms that apply to use of the Platform, including the User Agreement and the Origin Exchange Privacy Policy. All purchases made from the Platform will be subject to Origin Exchange’s standard billing practices.

We reserve the right to update and revise this Policy, and any other policy or terms, at any time without notice or liability. Any such revisions shall be effective immediately upon posting and are binding prospectively upon you.

As used in this Policy, the terms originexchange.com”, “we”, “our” and “us” mean Origin Exchange, LLC, a Delaware limited liability company (“Origin Exchange”), and any and all legal entities in which Origin Exchange, either directly or indirectly, owns an interest or is otherwise affiliated with.

Orders

You must be 18 years or older and have a valid credit card, with full authority to use such a card, to submit an order for products or services through our Platform.

Your receipt of an electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. We reserve the right at any time after receipt of your order to accept, decline, or cancel your order for any reason. We reserve the right at any time after receipt of your order, without prior notice, to supply less than the quantity ordered of any product. We may require additional information or verification before accepting any order. Except when specified in an accepted Sale Contract, your order is not accepted until we send you shipping information for the order.

Notwithstanding the foregoing, you agree that, if we cancel all or a portion of your order or if we supply less than the quantity ordered, your sole and exclusive remedy is either (i) we will issue a credit to your account in the amount charged for the cancelled portion or the quantity not supplied, if your credit card has already been charged, or (ii) we will not charge your credit card for the cancelled portion of the order or the quantity not supplied.

Prices & Availability

All prices are shown in U.S. dollars except where otherwise noted.

All prices listed on the Platform are subject to change, without notice. In the event an item is listed at an incorrect price or with incorrect information due to our error rather than a Seller’s error, including but not limited to a typographical error or; error in pricing or; information received from our supplier; we reserve the right, prior to our acceptance of your order, to refuse or cancel any such order, whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged, we will issue a credit in the amount of the charge.

The availability of items on the Platform may change at any time, without notice.

Item descriptions are claims of the Seller and are not guaranteed accurate.

Payment

Your order will be processed utilizing the payment information you provide. By entering payment information, you represent and warrant that you have the legal right to use any payment method utilized in connection with any transaction processed by Origin Exchange. Origin Exchange reserves the right to take legal action against persons attempting to fraudulently utilize unauthorized payment information.

Payment will be collected at the time of placing the order. Full payment must be received in advance before any goods are prepared or dispatched. If any payment is subsequently withdrawn, disputed, charged back or reversed in any way by you, you will remain liable to pay the full amount of the sale, plus our 15% restocking fee and any additional fees incurred by Origin Exchange.

You agree to pay the price applicable for each item purchased on any of our Platforms, including any applied taxes, surcharges, and shipping and handling fees, in full at the time you submit the order. Unless we agree to other arrangements in writing, we will automatically bill your credit card submitted as part of the order process for such price.

Unless applied prior to checkout, sales taxes, or other taxes, customs, import/export charges, or other similar charges, are not included in the price of items. You are solely responsible for all applicable taxes or charges for items purchased which are shipped across states or outside the United States. You agree to indemnify and hold us harmless from any and all claims of liability for any such taxes or charges.

Payment Processing and Security

Purchasing products on Origin Exchange is safe and secure. In an effort to protect your privacy, we use the latest technology to keep your payment information safe. Payments are processed by an accredited third-party financial institution, which receives payment information and other personal information for verification purposes and to process transactions.

Making Payment

To submit an order request through Origin Exchange, you will be required to provide payment, billing, and shipping information. If paying with a credit card, the billing address you provide must match the address on your credit card statement. You may provide a shipping address that differs from your billing address. Please ensure all order information is correct. Once we have accepted your order request, and the twenty-four (24) hour cancellation period has expired, changes to this information may not be possible, or additional fees or penalties may apply.

Samples & Approval

Many of our Sellers provide free samples. We reserve the right to limit the number of samples our Sellers send, or sample sizes.We also reserve the right to charge for samples.

Buyers must cup and/or analyze samples requested through our Platform as soon as reasonably possible. We may require Buyers to submit feedback about free samples sent through the Platform. We and our Sellers thoroughly appreciate sample feedback. This information is valuable to everyone in the supply chain, especially producers and QC professionals at origin.

All forward and preship orders are subject to sampling unless otherwise indicated. Orders and purchases of Spot coffees are considered approved* if an arrival sample has already been sent. All orders and purchases are considered approved if the Buyer declines to sample. Buyer’s approval basis is critically important to all Sale Contracts and orders placed through our Platform. If you’re unsure about something, or have a question about your particular transaction, please contact our Support Team.

*Approved means that a Buyer has either approved their sample after cupping, or declined to take a sample.

Shipping & Receiving Shipments

Shipping & Handling

If your order request is accepted by Origin Exchange, the Seller will ship your order to the shipping address you provide. We strongly recommend providing a business or commercial address for the shipping address.

You will pay all shipping and handling charges for the order, unless we or you and the Seller agree otherwise. Some items may be available for will-call pickup or Buyer-arranged freight.

We attempt to assist Buyers and Sellers by shipping entire orders together, if possible. Sellers may ship items in installments, which does not relieve you from your obligation to accept and pay for remaining shipments. All products are deemed accepted upon our delivery of the product to your designated address or recipient.

Shipping Insurance

Origin Exchange does not require you to purchase shipping insurance, and the carriers’ minimum insurance amount will often cover many green coffee shipments. However, Origin Exchange recommends that you insure your shimpents in order to protect your goods and support any claims you may have against the product’s Seller or freight carrier. We do not accept any liability for uninsured or underinsured shipments.

Weather Impacts on Shipping

Shipment of your order may be delayed in extreme weather conditions (i.e., hot or cold temperatures that could damage your order). Use the weather in your area as a guide when making a purchase, and try to purchase at good times for shipment. If the weather is very hot or cold in your area and you would like to delay your shipment date, please contact our customer service here. Keep in mind that most of our Sellers do not accept responsibility for product damaged by weather.

 

Receiving Shipments

All orders processed by us are shipped  in good condition with bags intact. Pallets are usually securely strapped, wrapped. Buyers must inspect deliveries to ensure they are correct and free from damage prior to signing any documents or accepting shipment. Signing a Delivery Receipt indicates that you accept ownership of the freight as-is. This applies to all members of your company, including your employees and affiliates. If your delivery arrives incorrect or damaged, please take pictures, and note the issue clearly on the carrier’s Proof Of Delivery (“POD”) form prior to signing. The driver is obligated to wait for you while you inspect your delivery. DELIVERIES THAT HAVE BEEN SIGNED FOR MAY NOT BE ELIGIBLE FOR RETURN OR REFUND.

Returns & Refunds

Origin Exchange is committed to ensuring your satisfaction with all products purchased on our Platform. If you receive the wrong product, or if your product arrives damaged, please follow the procedures outlined above in “Receiving Shipments” and contact our Support Team immediately. You will be asked to provide your order number and explain the reasons for your dissatisfaction. We will review the specific circumstances on an individual basis and make a determination in a timely manner as to whether the request warrants a return or refund.

Only unused and unopened products, in the same condition as at the time of original shipment, may be returned or exchanged. Returns and exchanges must include all original packing materials. You may not return custom products or products reserved via forward or pre-approved Sale Contracts.

We accept returns or exchanges under limited circumstances. Returns must be authorized by us in writing and are subject to a 15% restocking fee. You will pay all return shipping charges. Any restocking fee and additional shipping will be deducted from the original amount billed and the remaining balance will be credited to your account. Original shipping and handling charges are not refundable.

To be eligible for a return or refund, you must notify Origin Exchange of your request and the reasons therefore within seventy-two (72) hours of your receipt of the shipment. Origin Exchange may, on behalf of the Seller, require you to return damaged products in their original packaging, or may require you to send pictures or other means of providing evidence of the damaged goods. We may reject your request for a refund or exchange if it cannot be verified that the product damage is eligible for a refund or exchange. Requests for exchanges may be subject to a return shipping charge. Returns may not be approved if you do not contact us within seventy-two (72) hours after delivery of your shipment.

Approved returns or exchanges must be postmarked within three (3) days of our authorization. Returns and exchanges must be sent via UPS Freight or other common carrier and must be insured for full value of purchase. Returns and exchanges must be sent to the address indicated on the return or exchange authorization and must include a copy of the original packing slip or invoice and any return or exchange instructions. We are not responsible for packages lost during return or exchange shipping.

If you ordered an incorrect product, certain products can be exchanged subject to availability. You will pay any additional shipping and handling charges and the restocking fee may be waived in our sole discretion. The replacement item must be at least 100% of the value of the originally purchased product.

Problems With Orders

IF THERE IS A PROBLEM WITH YOUR ORDER YOU MUST CONTACT US BEFORE THE LATER OF (i) FIFTEEN (15) CALENDAR DAYS FROM YOUR ORDER’S SHIPMENT DATE OR; (ii) SEVENTY-TWO (72) HOURS FROM YOUR ORDER’S DELIVERY DATE IN ORDER TO BE ELIGIBLE FOR A RETURN, EXCHANGE OR REFUND. AFTER THIS PERIOD HAS PASSED AND NEITHER BUYER NOR SELLER HAVE CONTACTED ORIGIN EXCHANGE TO INFORM US OF AN ORDER ISSUE THE SALE IS DEEMED FINAL; AND NO RETURN, EXCHANGE OR REFUND WILL BE ISSUED UNDER ANY CIRCUMSTANCES.

YOU MUST CONTACT US PRIOR TO DISPUTING ANY CHARGES OR DEBITS MADE BY ORIGIN EXCHANGE WITH YOUR FINANCIAL INSTITUTION. IT IS A VIOLATION OF OUR POLICIES TO DISPUTE OR SEEK REVERSAL OF ANY CHARGES OR DEBITS MADE BY ORIGIN EXCHANGE WITH YOUR CREDIT CARD COMPANY OR FINANCIAL INSTITUTION IF YOU DO NOT FIRST CONTACT US TO INFORM US OF A PROBLEM. THERE ARE TWO NOTABLE EXCEPTIONS: (i) WHEN YOU BELIEVE THAT THE CHARGE WAS NOT AUTHORIZED BY YOU OR YOUR COMPANY OR; (ii) IF SUSPECT FRAUD. IN EITHER INSTANCE IT IS IMPERATIVE THAT YOU CONTACT US TO ALERT US TO THE PROBLEM. FAILURE TO ABIDE BY THIS POLICY MAY RESULT IN PERMANENT DEACTIVATION OR TERMINATION OF YOUR ACCOUNT.
